Michael J. Morrisroe

Corporate / Mergers and Acquisition

In his practice, Mr. Morrisroe provides day-to-day counseling to owners and executives of privately owned companies, from creating new organizations, planning for existing organizations, and merger and acquisition activities. He advises clients on the proper choice of entity among corporations, partnerships, limited liability companies and assists clients on a multitude of tax planning matters as they affect privately owned business owners, executives and professionals. Works to minimize the tax liabilities associated with the sale of privately owned businesses and preserve the maximum flexibility in designing various entity structures.

Commercial Litigation

Represents clients in a variety of business disputes in both state and federal courts, including, but not limited to, breach of contract claims, claims of commercial disparagement, trademark infringement. In his practice, Mr. Morrisroe works closely with his clients in developing pragmatic business and litigation strategies in order to provide them cost-effective legal services. Provides nationwide litigation management and supervision for a specialty lines insurance carrier.

Closely-Held or Family Businesses / Estate Planning

Routinely represents families and individuals, family partnerships privately owned businesses, on a number of estate and succession planning issues, and the appropriate use of strategies to reduce exposure to estate and gift tax liabilities.

Background

Mr. Morrisroe received a Bachelor of Arts in 1983 from the Loyola University of Chicago. He received his Juris Doctor degree in 1986 from the DePaul University Law School. He is admitted to the Illinois Bar, the Federal Bar of the Northern District of Illinois, the Federal trial Bar of the Northern District of Illinois, the Federal Bar of Eastern District of Michigan and the Bar of the United States Court of Appeals for the Seventh Circuit.

Mr. Morrisroe is a member of the DuPage County Bar Association, the Chicago Bar Association, the Illinois State Bar Association and the American Bar Association.
